Please find attached, The committees of the subject tender have given their opinion intof the Committees response to the exceptions letter,.

As you can have read on the attached document that, Vallourec will be absolutely disqualified tfrom the tender process, because of all the exceptions related witho standard terms and conditions which were agreed to by both parties. CNOOC Iraq Limited and MOC ( Iraqi Government), FYI : CNOOC Iraq Limited enganged with MOC( Iraqi Government) into a Technical Sharing Contract, and then named CMITFOD, so all regulations and procedures for Tthe tender process will be managed and approved by both parties,; the reason why the committees cannot consider the exceptions , if the exceptions are related witho CMITFOD's standard terms and conditions, but Wwe believe that CMITFOD Terms and Conditions are still in the International normal standard for the Terms and Conditions.,and it is worth it to follow them.

We are in the Technical and Commercial stage, and the next week we havewill move forward to the next crucial step, Fthe final around to decide the winner of the tender.
We want you there, but the decision is oin your hands now.

We will give you a dateadline before tomorrow afternoon to submit the statement letter statying : We agree with all the terms and conditions in the ITT package for the subject tender, "OR", We can not comply with the terms and conditions in the ITT package for the subject tender.

We have been dealing many times with companies outside and inside Iraq and they proposed a lot of exceptions. Firstly, they do not want to follow strictly the ITT requirements strictly and tried to stand on their exceptions, but finally, most of them agreed to follow the ITT requirements to allow them to continue to the next stage. But some suppliers and contractors were not in agreeimengt, and we have had to disqualify them. Many companies that have been disqualified want to withdraw the exceptions after we have received a final decision, but unfortunately, we cannot greturn it back to them to re-evaluate.
